Partnership accounts and tax returns

How partnership tax works

One return for the firm, one for each partner

  • Form 1 (Firms)

The partnership itself doesn't pay income tax. It files a Form 1 (Firms) each year showing its profit and how it is split between partners.

  • Form 11 per partner

Each partner pays income tax, USC and PRSI on their share through their own Form 11.

  • The precedent partner

The precedent partner (usually the first-named partner resident in Ireland) files the Form 1 (Firms). If no partner is resident here, the firm's Irish agent or manager files it.

FAQ

Partnership questions

What is a Form 1 (Firms)?+

It is the annual partnership tax return filed with Revenue. It shows the partnership's profit and how that profit is split between the partners. The partnership doesn't pay income tax itself; each partner is taxed on their share.

Does each partner still need a tax return?+

Yes. Every partner files their own Form 11 and pays income tax, USC and PRSI on their share of the profit, along with preliminary tax. We prepare the Form 1 (Firms) and each Form 11 together so the figures match.

How do we register a partnership in Ireland?+

The partnership registers with Revenue using Form TR1 (FT) and each partner registers for income tax. If the firm trades under a business name, that name is registered with the CRO on Form RBN1A. Our Partnership Registration service covers this from €149.

Should we become a limited company instead?+

It depends on your profits, risk and plans. A company pays corporation tax on trading profits and adds annual accounts, CT1 and B1 filings. We can compare both structures on a free call and form the company if that's the right move.
